Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Black Flag Funding LLC DBA BFF Software ("Company," "we," "us," or "our"), governing your access to and use of FundFriend.online (the "Service"). By registering for, accessing, or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1 Acceptance of Terms

By creating an account or otherwise accessing the Service, you represent that (a) you are at least 18 years of age; (b) you have the legal authority to enter into this agreement on behalf of yourself or the entity you represent; and (c) your use of the Service will comply with all applicable laws and regulations. If you are using the Service on behalf of a business entity, you represent that you are authorized to bind that entity to these Terms.

2 Description of Service

FundFriend.online is a cloud-based white-labeled referral partner portal platform designed for MCA (merchant cash advance) brokers and ISOs. The Service allows subscribers to manage an ISO and referral partner network, track referrals and leads, log commissions, post announcements, and access related CRM integration features. The Service is provided on a software-as-a-service (SaaS) basis under a monthly subscription. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with or without notice.

Important: FundFriend.online is a partner portal management platform. We provide the software infrastructure — you are the operator. We do not monitor, direct, or control the business relationships, referral agreements, commission structures, or lead submissions made through your portal. All activity within your portal is directed solely by you and your organization.

3 Account Registration and Security

To access the Service you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at legal@bffsoftware.com if you suspect unauthorized access. We are not liable for losses caused by unauthorized use of your account.

You may not share your account credentials with third parties, create accounts using automated methods, or maintain more than one account without our prior written consent.

4 Subscription, Payment, and Billing

4.1 Fees

Access to the Service requires a paid monthly subscription as described on the FundFriend.online pricing page at the time of purchase. All fees are stated in U.S. dollars. We reserve the right to change pricing at any time with at least 30 days' notice to active subscribers.

4.2 Free Trial

New subscribers receive a 14-day free trial beginning on the date of account creation. No credit card is required to start a trial. At the end of the trial period, continued use of the Service requires a paid subscription. If you do not subscribe before your trial expires, your portal will be placed in a locked state and your data will be preserved for a reasonable period to allow you to subscribe and restore access.

4.3 Payment Processing

Payment is processed by Stripe, Inc., a third-party payment processor. By providing payment information you authorize us (or our processor) to charge your selected payment method for all applicable fees. We do not store full credit card numbers. You agree to maintain valid payment information on file at all times while you have an active paid subscription.

4.4 Renewals, Cancellation, and Refund Policy

Subscriptions auto-renew monthly at the end of each billing period unless you cancel prior to the renewal date. Cancellations take effect at the end of the current billing period — your account remains active and fully functional through the last day of your paid cycle.

All sales are final. We do not offer refunds. No refunds or credits are issued for any reason, including partial billing periods, unused portal features, early cancellation, or unused trial time. By completing your purchase you acknowledge and agree to this no-refund policy.

4.5 Late Payment and Suspension

If payment is not received when due, we may suspend or terminate your access to the Service without notice. Past-due amounts accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. You are responsible for all reasonable costs of collection.

5 Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

6 Intellectual Property

6.1 Our Property

The Service, including all software, interfaces, text, graphics, logos, and other content, is the property of Black Flag Funding LLC DBA BFF Software or its licensors and is protected by United States and international intellectual property laws. These Terms do not grant you any ownership rights in the Service. You receive only a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during the term of your subscription.

6.2 Your Content

You retain ownership of all partner data, lead data, commission records, and other content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to host, process, and display that content solely as necessary to provide the Service. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate any third-party rights.

6.3 Feedback

If you submit suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback without any obligation to you.

7 Third-Party Services and Integrations

The Service integrates with third-party providers including Stripe, Inc. for payment processing and Resend for transactional email delivery. Your use of the Service may be subject to those providers' terms and acceptable use policies. The Service may also integrate with or connect to CRM platforms (HubSpot, GoHighLevel, Salesforce, Close.io, and others); such integrations are provided as a convenience and we are not responsible for the availability, accuracy, or continued operation of any third-party platform. We are not responsible for the actions or policies of any third-party service.

8 Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

9 Disclaimers and No Warranties

No advice or information, whether oral or written, obtained from us or through the Service, creates any warranty not expressly stated in these Terms.

10 Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by law.

11 Indemnification

You agree to defend, indemnify, and hold harmless Black Flag Funding LLC DBA BFF Software and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use of or inability to use the Service; (b) your violation of these Terms; (c) your violation of any applicable law; (d) any claim that your User Content infringes or misappropriates any third-party right; or (e) your negligence or willful misconduct.

12 Term and Termination

12.1 Term

These Terms commence on the date you first access the Service and remain in effect until your subscription is terminated or these Terms are otherwise ended.

12.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us at legal@bffsoftware.com. Cancellation takes effect at the end of your current billing period.

12.3 Termination by Us

We may suspend or terminate your access to the Service immediately and without prior notice if: (a) you breach any provision of these Terms; (b) we are required to do so by law; (c) your use of the Service poses a legal or reputational risk to us; or (d) you fail to pay any fees when due.

12.4 Effect of Termination

Upon termination, your license to use the Service immediately ceases. Sections 6, 9, 10, 11, 14, and 15 survive termination. You may request export of your data within 30 days of termination; after that period, we may delete your data in accordance with our Privacy Policy.

13 Modifications to Terms and Service

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website or via email. Material changes take effect 30 days after notice. Your continued use of the Service after that period constitutes acceptance of the revised Terms.

14 Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law principles.

14.2 Informal Resolution

Before filing any formal legal proceeding, the parties agree to attempt to resolve any dispute informally by contacting the other party in writing and allowing 30 days for a response.

14.3 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Salt Lake County, Utah, or via remote proceeding. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Class Action Waiver

Either party may seek emergency injunctive relief in a court of competent jurisdiction in Salt Lake County, Utah to prevent irreparable harm pending arbitration. Claims relating to intellectual property infringement are exempt from mandatory arbitration.

15 Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Black Flag Funding LLC DBA BFF Software regarding the Service and supersede all prior agreements.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

15.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, government actions, labor disputes, power failures, or internet outages.

15.6 No Agency

Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between you and Black Flag Funding LLC DBA BFF Software.

15.7 Notices

Notices from us will be delivered to the email address associated with your account. Notices to us must be sent to legal@bffsoftware.com.
